Terms of Service

Effective September 6, 2026 · Last updated September 6, 2026

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "Client") and Edha & Co. ("Edha," "we," "us," or "our"). They govern your access to and use of our website (the "Site"), any application or form you submit, and any services we provide (the "Services").

By accessing the Site, submitting an application, or engaging us, you agree to these Terms. If you don't agree, don't use the Site or the Services. If you're accepting on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

1. Eligibility

The Site and Services are offered solely to businesses and to individuals acting on behalf of a business. You represent that you're at least eighteen years old, that you have the legal capacity to enter into a binding contract, and that you aren't barred from receiving services under the laws of the United States or any applicable jurisdiction.

2. The Services

Edha provides business operations consulting and implementation services to appointment-based businesses. Depending on what you engage us for, the Services may include configuration of booking, payment, messaging, review, and reporting tools; design of pay and commission structures; campaign setup; training; advertising setup; website development; search and answer-engine optimization; and ongoing advisory services.

The specific Services, deliverables, timelines, fees, and any assumptions or exclusions for a given engagement are set out in a written scope, proposal, statement of work, or order form that we and you agree to (each, a "Scope"). If a Scope conflicts with these Terms, the Scope controls for that engagement, but only as to the conflicting provision.

Descriptions of the Services on the Site are marketing summaries, not a Scope, and don't constitute an offer capable of acceptance.

3. Applications and acceptance

Submitting an application, questionnaire, or form doesn't create an engagement, doesn't obligate either party, and doesn't guarantee that we'll offer to work with you. We accept a limited number of clients and select them at our sole discretion. We may decline any application for any lawful reason or for no reason.

An engagement begins only when both parties have agreed in writing to a Scope and you've made the first payment required by that Scope.

You agree that the information you provide in an application is accurate and complete to the best of your knowledge. We rely on it in scoping, pricing, and sequencing the work. Material inaccuracies may result in a revised Scope, a revised fee, or termination under Section 18.

4. Fees, payment, and taxes

  • Fees. Fees are stated in the applicable Scope. Prices shown on the Site are current as of publication and may change at any time before a Scope is agreed. Once a Scope is signed, the fees in it are fixed for that engagement.
  • Payment schedule. Unless a Scope says otherwise, fees for the Foundations build are payable in the installments described in that Scope. Ongoing services are billed monthly in advance.
  • Method. Payments are made by the methods we designate. You authorize us and our payment processor to charge the payment method you provide for amounts due.
  • Late payment. Amounts not paid when due may accrue interest at the lesser of one and one half percent per month or the maximum rate permitted by law. We may suspend work and withhold deliverables while any undisputed amount is more than ten days past due. You're responsible for reasonable costs of collection, including attorneys' fees.
  • Chargebacks. Initiating a chargeback or payment dispute without first raising the issue with us in writing and allowing ten business days to resolve it is a material breach of these Terms.
  • Taxes. Fees are exclusive of sales, use, excise, value-added, and similar taxes. You're responsible for all such taxes other than taxes on our net income.
  • Non-refundable. Except as expressly provided in Section 6 or in the applicable Scope, fees are non-refundable once work has commenced.

5. Third-party costs and tools

The Services frequently involve third-party software and hardware, including booking platforms, payment processors, messaging providers, email platforms, domain registrars, hosting, card readers, and tablets. Those products are sold, billed, licensed, and supported by their own providers under their own terms and privacy policies.

  • Third-party fees and hardware costs are your responsibility and are separate from our fees. We'll identify expected costs before you commit, but published third-party pricing changes without our control and any figure we quote is an estimate.
  • Accounts are established in your name and belong to you. You're responsible for compliance with those providers' terms.
  • We aren't liable for a third party's outage, defect, data loss, price change, policy change, suspension, or discontinuation, or for any consequence of it.

6. The guarantee

Where a Scope expressly includes a written guarantee, that guarantee is governed by the specific conditions and remedies stated in that Scope, and by this Section 6. No guarantee applies unless it appears in a signed Scope.

Conditions. A guarantee applies only if all of the following are satisfied: you've paid all amounts when due; you've provided the access, information, approvals, and cooperation described in Section 7 within the timeframes stated in the Scope; you've kept the tools we configure active and haven't materially altered or disabled them; you've followed the training and operating instructions we provide; and you've raised any claim in writing within thirty days after the end of the delivery period.

Remedy. Where a guarantee is triggered, the remedy is the specific remedy stated in the Scope, which may include a refund, a credit, or continued work at no additional fee. That remedy is your sole and exclusive remedy and our entire liability for the guaranteed outcome.

Not covered. A guarantee doesn't apply to outcomes affected by events outside our reasonable control, including your closure or suspension of operations, loss of staff, changes to your pricing or menu made without our agreement, third-party platform failures, or your failure to respond to customers generated by the work.

7. Your responsibilities

The Services depend on your timely participation. You agree to:

  • Provide accurate and complete information about your business, and promptly correct anything that changes.
  • Provide access to the accounts, systems, and data reasonably required to perform the Services, and maintain that access for the duration of the engagement.
  • Designate a decision maker with authority to approve deliverables, and respond to requests for approval, feedback, or information within the timeframes stated in the Scope, and in any event within five business days.
  • Attend scheduled sessions, or reschedule with reasonable notice.
  • Ensure that any customer or employee data you provide was lawfully collected and may lawfully be used for the purposes you ask us to use it, including any consent required for marketing communications.
  • Comply with all laws applicable to your business, including employment, wage and hour, worker classification, licensing, health and safety, tax, advertising, and consumer protection laws.
  • Maintain your own backups of your data and your own insurance appropriate to your business.

Delays caused by your non-performance extend our deadlines day for day, may incur additional fees, and may suspend any guarantee.

8. Deliverables and ownership

Your materials. You retain all right, title, and interest in the content, data, trademarks, and materials you provide to us. You grant us a limited, non-exclusive license to use them solely to perform the Services.

Deliverables. On our receipt of payment in full for the applicable engagement, we assign to you all right, title, and interest in the deliverables created specifically for you under that Scope, meaning the configured accounts, the written documents, the campaign copy, and the website built for you, excluding the Edha Materials described below.

Edha Materials. We retain all right, title, and interest in our methodologies, frameworks, processes, know-how, templates, checklists, question sets, training materials, code libraries, and any tools or components we developed before the engagement or independently of it, together with any improvements to them (the "Edha Materials"). To the extent Edha Materials are embedded in a deliverable, we grant you a perpetual, non-exclusive, non-transferable, royalty-free license to use them internally in the operation of your own business, with no right to sublicense, resell, or distribute them.

Residual knowledge. Nothing restricts us from using the general knowledge, skills, and experience we acquire in performing the Services, provided we don't disclose your Confidential Information.

9. Our intellectual property

The Site and all of its contents, including the text, copy, headlines, structure, methodology, graphics, illustrations, layouts, designs, logos, marks, and code, are owned by Edha or licensed to us and are protected by United States and international copyright, trademark, trade dress, and other intellectual property laws. "Edha," "Edha & Co.," "Foundations," and our logos are our trademarks, whether or not registered. Nothing on the Site grants any license or right to use them.

10. Restrictions on use

You may read the Site, share a link to it, and quote a brief passage with attribution. You may not, without our prior written permission:

Copy, reproduce, republish, scrape, mirror, or store the Site's content, in whole or in substantial part; adapt, translate, or create derivative works from it; use it, or any recognizable derivative of it, in your own business, website, marketing, offer, sales materials, training, or client work; remove or obscure any proprietary notice; use automated means to access the Site other than standard search engine indexing; use the Site's content to train, fine-tune, or ground a machine learning model or generative system; or reverse engineer, resell, sublicense, or commercially exploit any part of the Services.

These restrictions survive the end of any engagement. We monitor for infringement, and we'll pursue all available remedies, including injunctive relief, statutory damages, and recovery of attorneys' fees where the law provides them.

11. Confidentiality

Each party may receive information of the other that's marked confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure ("Confidential Information"). This includes your financial figures, customer lists, staffing and pay information, and business plans, and includes our pricing, methodologies, and Edha Materials.

Each party agrees to use the other's Confidential Information only to perform or receive the Services, to protect it with at least reasonable care, and not to disclose it to third parties except to employees, contractors, and advisors who need it and are bound by comparable obligations. These obligations don't apply to information that's public through no fault of the receiving party, was rightfully known without restriction before disclosure, is rightfully received from a third party without restriction, or is independently developed without use of the Confidential Information. A party may disclose Confidential Information where legally compelled, provided it gives reasonable prior notice where lawful. Confidentiality obligations survive for three years after the end of the engagement, and indefinitely as to trade secrets.

12. No professional advice

Edha provides operational and business consulting only. We aren't a law firm, an accounting firm, a tax advisor, a licensed employment agency, a professional employer organization, an investment advisor, or an insurance broker, and we don't provide legal, tax, accounting, employment law, immigration, or financial advice. Nothing we provide, including any document, template, handbook, pay structure, classification recommendation, policy, or communication, constitutes such advice or creates a professional relationship of that kind.

Decisions about worker classification, wage and hour compliance, contracts, taxes, licensing, insurance, and similar matters carry legal consequences. You're solely responsible for obtaining independent professional advice before acting, and for the decisions you make.

13. No guarantee of results

Any figures, ranges, timelines, case examples, or outcomes described on the Site or in our materials are illustrative. They reflect what particular businesses experienced under particular conditions and are not a promise, projection, or guarantee of what you'll achieve.

Results depend on factors outside our control, including your market, pricing, staffing, service quality, capacity, execution, effort, and economic conditions. We make no representation that you'll earn any particular amount, book any particular number of appointments, or recover your investment, except as expressly stated in a written guarantee in a signed Scope.

14. Testimonials and examples

Testimonials, quotes, and examples appearing on the Site reflect the experience of the individuals who gave them and aren't necessarily typical. We don't compensate anyone for a testimonial unless that fact is disclosed alongside it. Where we describe work performed for a client, we do so with permission or in a form that doesn't identify the client.

15. Disclaimer of warranties

The site and the services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Edha disclaims all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade.

We don't warrant that the site or the services will be uninterrupted, timely, secure, or error free, that defects will be corrected, or that the site is free of harmful components. No advice or information, whether oral or written, obtained from Edha creates any warranty not expressly stated in these terms.

16. Limitation of liability

To the fullest extent permitted by law, Edha and its owners, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, or data, arising out of or related to the site, the services, or these terms, whether based in contract, tort, strict liability, or any other theory, and whether or not we were advised of the possibility of such damages.

Edha's total aggregate liability arising out of or related to the site, the services, or these terms will not exceed the greater of the total fees you actually paid to Edha in the six months preceding the event giving rise to the claim, or five hundred dollars.

These limitations apply even if a limited remedy fails of its essential purpose. Some jurisdictions don't allow certain exclusions or limitations, so some of the above may not apply to you, in which case our liability is limited to the greatest extent permitted by law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Edha and its owners, officers, employees, contractors, and agents from and against any claim, demand, action, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising out of or related to: your breach of these Terms or any Scope; your use of the Site, the Services, or any deliverable; any content, data, or materials you provide, including any claim that they infringe a third party's rights or were unlawfully collected; your employment or classification of workers; your compliance or non-compliance with any law; and any communication sent to your customers at your direction.

18. Term, cancellation, and termination

  • Term. These Terms apply while you use the Site and, for a Client, for the duration of the engagement and thereafter as to provisions that by their nature survive.
  • Cancellation by you. Ongoing monthly services may be cancelled with fourteen days' written notice before the next billing date. Fees already paid for a period in progress aren't refunded. Fixed-scope engagements may be cancelled by written notice, in which case you remain responsible for fees for work performed and commitments made through the effective date of cancellation.
  • Termination by us. We may suspend or terminate an engagement immediately on written notice if you breach these Terms or a Scope and fail to cure within ten days of notice; if any undisputed amount is more than thirty days past due; if you engage in abusive, harassing, threatening, or discriminatory conduct toward our personnel; if performing the Services would require us to violate a law or a third party's terms; or if you request work we reasonably believe to be unlawful or unethical.
  • Effect. On termination, you'll pay all amounts due for work performed, we'll deliver the work product for which you've paid in full, and we'll relinquish access to your accounts. Sections 4, 8, 9, 10, 11, 12, 13, 15, 16, 17, 20, 21, and 22 survive termination.

19. Force majeure

Neither party is liable for any delay or failure to perform, other than a payment obligation, caused by an event beyond its reasonable control, including acts of God, fire, flood, severe weather, epidemic, war, terrorism, civil unrest, labor dispute, utility or telecommunications failure, internet or platform outage, cyberattack, or governmental action. The affected party will give prompt notice and use reasonable efforts to resume performance.

20. Dispute resolution and arbitration

Informal resolution first. Before commencing any proceeding, the parties agree to attempt in good faith to resolve the dispute by written notice describing the claim and the relief sought, followed by at least thirty days of good-faith discussion.

Binding arbitration. If the dispute isn't resolved, it will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Chicago, Illinois, conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. All claims must be brought in an individual capacity. Neither party may bring or participate in a class, collective, consolidated, or representative proceeding.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property or Confidential Information without first arbitrating.

Time limit. Any claim must be brought within one year after the claim arose, or it's permanently barred, to the extent permitted by law.

21. Governing law and venue

These Terms and any dispute arising out of them are governed by the laws of the State of Illinois, without regard to its conflict of laws principles, and by the Federal Arbitration Act as to Section 20. For any matter not subject to arbitration, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Cook County, Illinois, and waive any objection to that venue.

22. General provisions

  • Entire agreement. These Terms, together with any applicable Scope and our Privacy Policy, are the entire agreement between the parties on this subject and supersede all prior discussions, proposals, and representations.
  • Amendment. We may update these Terms by posting a revised version with a new "Last updated" date. Material changes take effect for existing Clients on the later of thirty days after posting or the start of the next billing period. Continued use constitutes acceptance.
  • Independent contractors. The parties are independent contractors. Nothing creates a partnership, joint venture, agency, franchise, or employment relationship.
  • Non-solicitation. During an engagement and for twelve months afterward, neither party will knowingly solicit for employment any individual employed or contracted by the other who was directly involved in the engagement, excluding responses to general public job postings.
  • Assignment. You may not assign these Terms or any Scope without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Notices. Notices to Edha go to hello@edhaco.com. Notices to you go to the email address you provided. Notice is effective on the business day after sending.
  • Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions stay in full force.
  • No waiver. A failure to enforce any provision isn't a waiver of the right to enforce it later.
  • Headings. Headings are for convenience and don't affect interpretation.
  • Interpretation. These Terms won't be construed against the drafting party.

We don't promise the moon. We promise the floor. Every business is different, and what you book depends on your list, your prices, your team and your market. The numbers on this site come from real builds and are not a promise of what yours will do. "Pays for itself in 45 days, or you don't pay" means exactly what is written on the pricing page and nothing more: a booked-appointment floor from the win-back, a go-live deadline, and delivery as scoped, each with a specific remedy. If your business doesn't meet the conditions for the win-back floor, we'll tell you before you pay. Nothing else on this site is a guarantee, and no result beyond those terms is promised.

Steal it and we'll know. Everything on this site is the property of Edha & Co.: the words, the method, the 45-day process, the leaks, the graphics, the pay sheet, the messages and the materials we deliver. You're welcome to read it, share it, and send it to a friend. You may not copy, reproduce or reuse any of it in your own business or marketing without written permission. If you do, our clients will send it to us, and we will enforce our rights.

We build systems. We're not your lawyer. Edha builds and teaches systems. We don't give legal, tax, accounting, or employment advice, and nothing here should be taken as any of those. Booking, texting, and other software are made and billed by their own companies; we're not affiliated with or endorsed by any of them, and we'll tell you exactly what they cost before you sign.
